Kepler Coatings – Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by MBKR International LLC, doing business as Kepler Coatings ("Kepler," "we," "us," or "our"), including our website at keplercoatings.com, the Kepler CRM platform, and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Services Overview

Kepler Coatings provides a customer relationship management (CRM) platform designed for window tinting and automotive protection film professionals. Our platform enables authorized dealers and business users to manage customer relationships, appointments, quotes, communications, and business operations.

2. Account Registration and Eligibility

To use certain features of our Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration

  • Maintain the security of your account credentials

  • Accept responsibility for all activities that occur under your account

  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.

3. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable laws or regulations

  • Send unauthorized or unsolicited communications, including spam

  • Impersonate any person or entity or misrepresent your affiliation

  • Interfere with or disrupt the integrity or performance of the Services

  • Attempt to gain unauthorized access to any part of the Services

4. SMS and Text Messaging Terms

4.1 Consent to Receive Messages

By providing a phone number to Kepler Coatings or to a business using the Kepler CRM platform, you consent to receive SMS text messages related to:

  • Appointment reminders and confirmations

  • Quote notifications and pricing information

  • Service updates and follow-ups

  • Account notifications

4.2 Message Frequency

Message frequency varies based on your interactions and appointments. Typically, you may receive 1-5 messages per week depending on scheduled services and communications initiated by your service provider.

4.3 Opt-Out Instructions

You may opt out of receiving SMS messages at any time by replying STOP to any message you receive. After opting out, you will receive a confirmation message and no further SMS messages will be sent unless you re-subscribe.

4.4 Help and Support

4.5 Message and Data Rates

Message and data rates may apply. Please consult your wireless carrier for details about your text messaging plan.

4.6 Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages.

4.7 Compliance

All SMS communications sent through the Kepler platform are intended to be compliant with the Telephone Consumer Protection Act (TCPA), the Cellular Telecommunications Industry Association (CTIA) guidelines, and applicable state and federal regulations. Businesses using the Kepler CRM platform are responsible for obtaining proper consent from their customers before initiating SMS communications.

5. Dealer and Business User Responsibilities

If you are a business or dealer using the Kepler CRM platform to communicate with your customers, you agree to:

  • Obtain proper consent from your customers before sending SMS messages

  • Maintain records of consent obtained from customers

  • Honor all opt-out requests promptly

  • Use the messaging features only for legitimate business communications related to your services

  • Comply with all applicable laws and regulations, including TCPA and CTIA guidelines

Failure to comply with these requirements may result in suspension or termination of your access to the Services.

6. Payment Terms

Certain features of our Services may require payment of fees. You agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise specified.

7. Intellectual Property

The Services and all content, features, and functionality are owned by MBKR International LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, available at https://www.keplercoatings.com/privacy-policy. By using the Services, you consent to the collection and use of information as described in our Privacy Policy.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MBKR INTERNATIONAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

11. Indemnification

You agree to indemnify and hold harmless MBKR International LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Services or violation of these Terms.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new effective date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
